These Terms of Use (or "Terms") govern the use of YOLLO, except where we expressly state that separate terms (and not these) apply, and provide information about the YOLLO Service (the "Service"), outlined below. When a user creates a YOLLO account, uses our Services, or visits our website, they agree to these Terms.

These Terms govern your access to and use of our Services, whether as a guest, Site visitor, registered user, or subscriber, as applicable, including account holders and non-account holders (each a “User,” collectively “Users”). By using the Services, you acknowledge that you have read and understood these Terms and you accept and agree to be bound and abide by these Terms. However, in case you do not agree with any part of these Terms, you must not use our Services.

The YOLLO service is owned and provided by Yolloverse Private Tech Limited.

Services

The Application provides a user the facility to:

1. Create and maintain a user profile on the Application after registering for our Services.

2. Share, and re-share content created by them or by other users; and to connect, communicate and follow other Users.

3. Alter, edit, modify, or delete their YOLLO profile, and comments and activities made by a user or their profile or other users’ profile.

4. Control their privacy, as per the Privacy Policy of the Company, right from their own account. This feature gives a user the ability to determine which other Users can view their profile and/or any other Content uploaded by them on this Application.

Who can use and access our services

In order to ensure that Service is as open and inclusive as possible, we want it to be secure, safe, and in accordance with the applicable law. In pursuance of that, we require our users to commit to a few restrictions in order to be part of the YOLLO community.

1. A user must be at least 13 years to use our services and a minor under the age of 18 shall be required to do so under parental supervision. Please read our Privacy Policy for Guidelines related to minors accessing and using our Services.

2. A user must not be prohibited from receiving or accessing any aspect of our Service under applicable laws or engaging in payments-related Services if they are on any applicable denied party listing.

3. A user must not be a convicted sexual offender.

4. The account of the user must not have previously been disabled for violation of law or for contravention of our Public Policy or Terms of Use.

Safety

Our aim is to provide an enhanced and positive social experience on our Platform for our users and establish an inclusive community at YOLLO where everybody feels safe and welcome. If a user wants to use certain features of our Services, a user shall have to create an account (“Account”) with YOLLO. It is pertinent that a user agrees to provide us with accurate, complete, and up-to-date information for their Account and agree to update such information from time to time to keep it accurate, complete, and up-to-date so that we can provide better Services to our users. Under these Terms, a user agrees that they shall not disclose their Account login credentials to anyone and shall notify us immediately of any unauthorized use of their Account for appropriate action to be taken. A user shall be responsible for the activities on their Account at all times. To keep our environment safe we need you to agree that:

1. A user shall not use our Services for any purpose that is fraudulent, misleading, and illegal, or prohibited by these given Terms.

2. A user shall not use or develop any such third-party applications that interact with our Services or any other users’ content or personal information without obtaining our prior written consent.

3. A user shall not post any content that can be considered to infringe any Intellectual Property rights of any third party.

4. A user shall not use the Services in a manner that could hamper, adversely affect, or inhibit other users from fully enjoying our Services, or that could impair or damage the functioning of the Services.

5. A user is strictly prohibited from posting content that contains or links to pornographic content, especially child pornography, graphic violence to any person or property, threatening or bullying other users or third parties, hate speech, or incitement to violence, including suicide; or depicts any sexually explicit content (pornographic or erotic content) which are abusive, violent or grossly harmful in nature.

6. We have a zero-tolerance policy against any content that is harmful or abusive to minors/children including sexually explicit or violent content.

7. A user shall not solicit passwords or any personal identifying information for commercial or unlawful purposes from other users or disseminate other users’ personal information without his permission. A user shall not falsely represent themselves as another person or representative of another person to use our Services nor shall they use or attempt to use another user’s account, username, or password without their permission.

8. A user is prohibited from posting any content that in any way threatens the public order, decency, or morality in relation to contempt of court, defamation or incitement to the commission of an offense or unity, integrity, security, or sovereignty of India, friendly relations with foreign states, or is insulting any other nation.

9. We shall not be held responsible for any content that is generated using Artificial Intelligence in case it violates the intellectual property rights of another user or a third person.

10. The user shall not upload any viruses or other malicious code that compromises the security of our Services or will not attempt to circumvent any content-filtering techniques employed by us or attempt to access parts of our Platform that they are not authorized to access.

11. A user shall not probe, scan, or test the vulnerability of our Services or any system or network. A user shall not encourage or promote any activity that violates these Terms.

YOLLO reserves the right to disable or block any account, username, password, functionality, or content at any time, at our sole discretion, including if, in our opinion, we find it reasonable to do so if we feel there has been a violation of any provision of these Safety Terms or other posted policies, guidelines, or rules.

Privacy

We take the privacy of our users with utmost seriousness. We have a separate Privacy Policy about it which users are requested to read.

For information about how YOLLO and its affiliates collect, use, and share your personal data, please read our Privacy Policy. By using our Services, our users agree that we may use your personal data in accordance with our Privacy Policy.

Rights granted by YOLLO to our users

YOLLO grants its users the right to use and enjoy our Services, subject to the Terms stated herein.

As long as a user complies with these Terms, YOLLO shall grant the user a personal, worldwide, non-assignable, non-exclusive, revocable, and non-transferable license to access and use our Services for purposes as intended by YOLLO and permitted by these Terms and applicable laws. A user shall have the right to download, copy, view, display, or print the Content solely in connection with their permitted use of the Services and solely for their personal and non-commercial purposes. This license and any authorization to access the Service shall automatically be revoked in the event if a user fails to comply with these Terms.

Your Representations and Warranties

· By using the Services, you expressly represent and warrant that your use of the Services is solely for your personal use. When using the Services, you agree to comply with all applicable laws. By using the Services, you agree, represent, and warrant that:

· You are eligible to use the Services, based on the requirements outlined in the section entitled “Who May Use the Services.”

· You will only use the Services for lawful purposes, using only authorized means; you will not use the Services for sending or storing any unlawful material or communications or for deceptive or fraudulent purposes.

· You will not use the Services, or any Content accessible through the Services, for any commercial purpose, including but not limited to competing with YOLLO services.

· You will not create or compile, directly or indirectly, any collection, compilation, or other directory from the Content displayed through the Services except for your personal, non-commercial use.

· You will keep secure and confidential your account password or any identification credentials we provide you which allows access to the Services.

· You will only use the Services for your own use and will not resell the Services to a third party.

· You will not conduct any systematic retrieval of data or other Content from the Services, and you will not copy any Content displayed through the Services for republication in any format or media.

Right you grant to YOLLO

A user grants us the right to use, process, retain, and store information provided by the user and relating to him. A user grants us permission to use cookies, pixel tags, web beacons, mobile device IDs, and similar files or technologies to collect and store information with respect to your use of the Services and third-party websites for enhancing the user experience on our Application. A user has the ability to disable this Service if they do not wish to receive cookies. We may also share your information (including Personal Information) with selected third parties including some business partners or sub-contractors that may use this information to help improve the overall user experience for the performance of any contract we enter into with you.

A user agrees that YOLLO may access, store, and disclose your account information, including Your Content if deemed necessary to do so by the applicable law or upon a bona fide belief that such access, storage, or disclosure is reasonably necessary to: (i) comply with any legal process; (ii) enforce these Terms of Use; (iii) respond to claims that any content posted by a user violates the rights of third parties; (iv) respond to some users’ requests for customer service; or (v) protect the rights, personal safety, or property of the Company or any other user.

“Content”- For purposes of these Terms: (i) “Content” means text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through the Services; and (ii) “User Content” means any Content that Users (including you) provide to be made available through the Services including without limitation, any reviews, ratings, and comments provided by a user. For clarity, Content includes without limitation User Content.

However, YOLLO shall not claim any ownership rights in any User Content and nothing in these Terms will be deemed to restrict any rights that a user may have to use and exploit their User Content. Subject to the foregoing terms, between a user and YOLLO, YOLLO shall be the sole owner of and will retain ownership of all rights, titles, and interests in the Services and Content, including all underlying software, algorithms, interfaces, technology, databases, tools, know-how, processes and methods used to provide or deliver the Services, documentation, aggregate data related to the Services, all improvements, modifications or enhancements to (or derivative works of) the foregoing (regardless of inventorship or authorship), and all Intellectual Property Rights in and to any of the foregoing. By using our services or visiting our site, a user acknowledges that the Services and Content here are protected by copyright, trademark, and other intellectual property and other laws of India and foreign countries. A user agrees not to remove, alter, or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services or Content herein.

General Prohibitions and Enforcement Rights for YOLLO Users

You agree not to do any of the following:

· use, display, mirror or frame the Services or any individual element within the Services, YOLLO's name, any YOLLO trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without YOLLO's express written consent;

· use the Services in any manner that violates central, state, local, or international law or regulation, including, without limitation, any laws regarding related to the export of data or software to and from the US or other countries;

· access, tamper with, or use non-public areas of the Services, YOLLO's computer systems, or the technical delivery systems of YOLLO's providers;

· impersonate or attempt to impersonate YOLLO, an YOLLO employee, contractor or agent, another User, or any other person or entity;

· attempt to probe, scan or test the vulnerability of any YOLLO system or network or breach any security or authentication measures;

· avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by YOLLO or any of YOLLO's providers or any other third party (including another User) to protect the Services;

· use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any material on the Services;

· attempt to gain unauthorized access to, damage, disrupt, or interfere with any parts of the Services, or any server, computer or database connected to the Services;

· attempt to decipher, decompile, disassemble, or reverse engineer the Services (including the App) or any of the software used to operate the Services.

· collect or store any personally identifiable information from the Services; and/or

· encourage or enable any other individual to do any of the foregoing.

· infringe the patent, trademark, trade secrets, copyright or any relevant intellectual property of YOLLO or copy the technology of YOLLO, YOLLOverse, and its relevant subsidiaries without relevant authorization.

. any individual or company shall not use/ scrap data from our platforms without authorization and shall be liable to pay us damages as compensation and need written consent from us in order to do so. The data at YOLLO should not be considered as available in the public domain, as it is only available restrictively after a user creates an account and accesses the data.

Disclaimers

The following disclaimers are made on behalf of YOLLO, our affiliates, subsidiaries, parents, successors and assigns, and each of our respective officers, directors, employees, agents, and shareholders. THE SERVICES ARE PROVIDED ON AN “AS IS” BASIS AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. WE DO NOT GUARANTEE AND DO NOT PROMISE ANY SPECIFIC RESULTS FROM THE USE OF THE SERVICES. TO THE FULLEST EXTENT PERMITTED BY LAW, WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE FOREGOING DISCLAIMER MAY NOT APPLY TO YOU. WE DO NOT WARRANT THAT YOUR USE OF THE SERVICES WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, SECURE, UNINTERRUPTED, ALWAYS AVAILABLE, OR ERROR-FREE, OR WILL MEET YOUR REQUIREMENTS, , OR THAT THE SERVICES SHALL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS AT ALL TIMES. HOWEVER, WE SHALL TRY TO PROVIDE MOST EFFICIENT SERVICES TO OUR USERS TO THE BEST OF OUR ABILITY. WE DISCLAIM LIABILITY FOR, AND NO WARRANTY IS MADE WITH RESPECT TO, CONNECTIVITY AND AVAILABILITY OF THE SERVICES. WE ARE NOT RESPONSIBLE FOR ANY RESULTS OR ADVICE PROVIDED VIA THE SERVICES, AND DISCLAIM ALL LIABILITY WITH RESPECT THERETO.

Termination

The Company reserves the right to terminate or suspend a user’s access to the Application and the Services with or without notice and to exercise any other remedy available under applicable law, in cases where:

1. A user is in breach of any terms and conditions of the Terms herein;

2. We have reasonable grounds for suspecting any illegal, fraudulent, or abusive activity on the part of a user;

3. We are unable to verify or authenticate any information provided to us by a user;

4. If the activities of a user are against our Terms or Privacy Policy,  we reserve the right to terminate or suspend your service at our sole discretion, if we believe that your actions may cause legal liability for a user, other Users, or the Company, or are contrary to the interests of our Company; or directed so by law enforcement.

In cases where an account is temporarily or permanently suspended, or terminated, the User may not access or use the Application under the same account, a different account, or re-register under a new account without acquiring prior approval from the Company. On termination of an account due to the reasons mentioned herein,

The User has the provision to appeal the suspension or termination of the account by contacting us at admin@yolloverse.com.

Changes to terms and services

Our Platform is subject to changes from time to time and we may continue to bring in new features rapidly. In such cases, we reserve the right to change or modify the services we provide at our discretion.

 We may temporarily, or permanently, stop providing Services or any features to you generally. We may remove add or modify any functions to our Platform and Services without any prior notice. However, in cases where a User’s consent is required, we shall ensure that we ask for it. The users are requested to keep visiting this page from time to time to stay updated on our latest modifications and developments. We reserve the right to make changes to the given Terms of Use, and any modifications to these terms shall be updated on this page and you will be required to read and accept them to continue your use of the Services, wherever required. Please visit this page to see any changes made by us and services that we may add, modify or remove, from time to time.

Special Note for International Users and Export Control- Yolloverse is headquartered in India. If a user accesses or uses our Services from outside India, they agree to do so at their own risk. Whether inside or outside of the India, a user are solely responsible for ensuring compliance with the laws of the users’ specific jurisdiction. Software available in connection with the Services and the transmission of applicable data, if any, is subject to Indian export controls. No software may be downloaded from the Services or otherwise exported or re-exported in violation of Indian export laws. Downloading or using the software underlying the Services is done at the sole risk of the user.

Indemnity

To the extent permitted by law, a user agrees to indemnify, protect and hold YOLLO and its parent company subsidiaries, affiliates and assignees, and their respective officers, directors, employees, and representatives harmless from any and all claims, demands, damages, suits, losses, liabilities and causes of action (including without limitation, the cost of defense, attorneys' fees, as well as the payment of any final judgment rendered against or settlement agreed upon by YOLLO or its parent, subsidiary and/or affiliated companies) arising directly or indirectly from, as a result of, or in connection with: (i) a User Content; (ii) a users’ failure to comply with any of these Terms; (iii) violation of any applicable laws, rules, or regulations related to use of the Services by a user; and (iv) use of the Services. YOLLO reserves the right, at its own cost, to assume the exclusive defenses and control of any matter otherwise subject to indemnification by the user, in which event a user shall fully cooperate with YOLLO in asserting any available defenses. YOLLO shall provide notice to a user of any such claim, suit, or proceeding. YOLLO reserves the right to assume the exclusive defense and control of any matter that is subject to indemnification under this section, and a user agrees to cooperate with any reasonable requests assisting YOLLO’s defense of such matter. A user may not settle or compromise any claim against the indemnified parties without YOLLO’s prior written consent.

Limitation of Liability

NEITHER YOLLO NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES OF YOLLO WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM USE OF, OR INABILITY TO USE, THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT YOLLO OR ANY OTHER PARTY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO A USER. IN NO EVENT WILL YOLLO’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED FIFTY US DOLLARS ($50). THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOLLO AND THE USER.

Reliance on Information Posted

The information presented throughout the Services is made available for general information purposes only. YOLLO does not warrant the accuracy, completeness, or usefulness of the information. Any reliance a user places on such information is at their own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to, or User of, the Services, or by anyone who may be informed of any of its contents.

User Disputes

A user agrees that they are solely responsible for the interactions with any other users in connection with the Service, and Company will have no liability or responsibility with respect thereto. Company reserves the right but has no obligation, to become involved in any way with disputes between the user and any other users of the Service

Links to Third Party Websites or Resources

The Services may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources or links displayed on such websites. A user shall acknowledge sole responsibility for and assume all risk arising from their use of any third-party websites or resources.

Telecommunications Consent

Notwithstanding any current or prior election to opt in or opt out of receiving telemarketing calls or SMS messages (including text messages) from YOLLO or anyone calling on its behalf, the user expressly consents to be contacted by YOLLO and anyone calling on its behalf for any and all purposes arising out of or relating to this Agreement or use of the Services, at any telephone number, or physical or electronic address they provide or at which they u may be reached. A user agrees that we may contact them in any way, including SMS messages (including text messages), calls using prerecorded messages or artificial voice, and calls and messages delivered using an auto-telephone dialing system or an automatic texting system. Automated messages may be played when the telephone is answered, whether by the user or someone else. In the event that an agent or representative calls, he or she may also leave a message on their answering machine, voice mail, or send one via text. Our users consent to receive SMS messages (including text messages), calls and messages (including pre-recorded and artificial voice and autodialed) from YOLLO, its agents, representatives, affiliates or anyone calling on its behalf at the specific number(s) a user has provided to YOLLO, or numbers we can reasonably associate with their Account (through skip trace, caller ID capture or other means), with information or questions about their Account or use of the Services. A user certifies, warrant and represent that the telephone numbers that they have provided to us are their correct and current contact numbers. The user represents that they permit to receive calls at each of the telephone numbers they have provided to us and agree to promptly alert us whenever they stop using a particular telephone number. A user’s cellular or mobile telephone provider will charge them according to the type of plan they carry. A user also agrees that we may contact them by email, using any email address that they have provided to us or that they might provide to us in the future. We may listen to and/or record phone calls between the user and our representatives without notice to the user as permitted by applicable law. For example, we may listen to and record calls for quality monitoring purposes. A user consents to receive communications from us in electronic form should we so elect, including any and all disclosures and other communications that are required by law.

Notices

Any notices or other communications provided by YOLLO under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Services. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

Waiver of Rights

YOLLO’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of YOLLO. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.

Employment Opportunities

YOLLO is committed to the principles of equal employment opportunities for all. We at YOLLO condemn any discrimination based on race, sex, sexual orientation, ethnicity, religion, national origin, age, disability (so long as such disability can be reasonably accommodated), or any other status protected by applicable laws. The candidates shall be chosen based on merit solely and if deemed fit for the concerned position. YOLLO encourages all qualified applicants to apply and the decisions made in this regard shall be final and at the discretion of YOLLO or its allied companies.

Grievance redressal mechanism

Any discrepancies or grievances with regard to Content and or comment or breach of this Agreement or Community Guidelines shall be taken up with the designated Grievance Redressal portal on our Application. A user has the right to appeal against any action on their complaint or Content and we shall endeavour to resolve the same in an expeditious manner. A user can submit his concerns to us on admin@yolloverse.com and we shall try to solve it expeditiously in accordance with applicable law.

Kindly note that for the purpose of validation, a user shall be required to provide information (including, but not limited to his registered mobile number, email address, etc.) for the purpose of identification and authentication, and for taking up their service request.
